Noam Goodman Noam Goodman is a partner in the Business Law Group and a member of the Life Sciences and Emerging Technologies Group. Prior to joining Heenan Blaikie, he practised with a major Toronto law firm and served as general counsel for a multinational corporation headquartered in Italy.
Noam has extensive experience acting for private and public corporations in mergers and acquisitions, outsourcing arrangements, secured finance and the licensing of intellectual property. He has developed considerable depth and legal experience in the life sciences industry. He has advised biotechnology companies on licensing, collaborations and merger and acquisition transactions. Through his practice, he developed extensive experience in the Canadian pharmaceutical industry and has assisted and advised on the sale, marketing, distribution and licensing of pharmaceuticals in Canada.
Noam has also been involved in the development of electronic health record projects in Canada including electronic registries of health providers and patients, drug systems and multi-hospital shared diagnostic imaging systems. Education

Represented Flextronics International Ltd. (NASDAQ: FLEX) as Canadian counsel in connection with a new $2.5B syndicated term loan facility with a syndicate of banks led by Citigroup Group Markets Inc. The new facility was entered into to finance Flextronics'acquisition of Solectron Corporation.
Represented Group 1 Software Inc., a Pitney Bowes company (NYSE:PBI) in its acquisition of Altimate Systems Inc., a next generation enterprise content management software provider.
Represented Lenscrafters International Inc., a subsidiary of Luxottica Group S.p.A. (NYSE: LUX) in the purchase of Shoppers Optical, a retailer and manufacturer of personal eyewear. As part of the acquisition, Lenscrafters acquired all 75 Shoppers Optical retail locations in Canada as well as its central laboratory in Winnipeg.
Represented Flextronics International Ltd. (NASDAQ: FLEX) in concluding an agreement to purchase certain manufacturing operations and related activities in Canada and Brazil from Nortel Networks for cash proceeds of approximately US$700 million. Both companies entered into a four-year supply agreement for manufacturing services and a three-year supply agreement for design services.
Represented Bank of America in Sun Media Corporation's refinancing of its credit facilities with an operating facility in the amount of CDN$75,000,000 and a US$230,000,000 term facility.
